The following terms apply to your access to and use of the trademarks (the “trademarks”) and copyrighted materials (the “copyrighted materials”) that Construction Inclusion Week (CIW) provides to registrants participating in CIW’s Construction Inclusion Week at  www.ConstructionInclusionWeek.com/Downloads-Library (the “website”)) (collectively, the “downloadable materials”):

1. CIW grants you a non-exclusive, royalty-free, right and license to use the downloadable materials for your promotion of and participation in, CIW’s CONSTRUCTION INCLUSION WEEK for 2025. You agree, whenever reasonably possible, to include with your printed materials making use of any of the trademarks, the following notation: “The Construction Inclusion Week trademark is the property of Construction Inclusion Week.” You agree to comply with the guidance provided in the Style Sheet at the website, and that you will not revise any of the trademarks.

2. You understand that you may not grant use of the trademarks to others, use the trademarks as a part of your business name, or use the trademarks as a part of any domain name.

3. You agree you will not harm, misuse, or bring into disrepute, the trademarks or CIW’s reputation. You will provide goods and services in connection with the trademarks in an ethical manner. You will comply with all laws and regulations relating to the services you offer in connection with the trademarks.

4. You acknowledge that all right, title and interest in the trademarks belongs to CIW. You recognize the value of the reputation and goodwill associated with the trademarks, acknowledge that such goodwill belongs exclusively to CIW, and recognize that your use of the trademarks will inure to CIW’s benefit. You recognize that irreparable injury would be caused by your unauthorized use of the trademarks, understand that injunctive and other equitable relief would be appropriate in the event of a breach of these terms, and acknowledge that such remedy would not be exclusive of any other remedies available to CIW.

5. You will not apply for or obtain in your name, any registration for any trademark encompassing CONSTRUCTION INCLUSION WEEK and/or any of the design features of any of the trademarks, or of any other mark that would be deemed to be confusingly similar to any of the trademarks.

6. You acknowledge that CIW will in its sole discretion, determine whether to seek registration for, or to maintain any registration of, any of the trademarks.

7. The downloadable materials include copyrighted materials owned by CIW. You may use such materials only in connection with your participation in CIW’s CONSTRUCTION INCLUSION WEEK. You may not copy those materials or any portion of them for use for any other purpose, and you may not seek copyright registration for all or any portion of those materials.

8. You acknowledge that CIW reserves the right to use the downloadable materials, and to sublicense its trademarks to other parties. 

9. You acknowledge that CIW EXPRESSLY DISCLAIMS ALL WARRANTIES RELATING TO THE TRADEMARKS INCLUDING ANY WARRANTIES THAT THE TRADEMARKS ARE VALID OR THAT THE TRADEMARKS DO NOT INFRINGE ON THE RIGHTS OF ANY THIRD PARTY.

10. These terms shall be governed by and construed in accordance with the internal laws of the State of Minnesota, without giving effect to principles of conflict of laws
